1. Services, Scope, and Billing

By subscribing to TekBridges ("Provider"), the Client agrees to the outlined setup fees and a recurring monthly retainer for web hosting, maintenance, and secure technical infrastructure. The monthly retainer includes up to one hour of standard content updates (e.g., text modifications, image swaps, or staff directory changes) per month. Structural redesigns, new page creations, or advanced feature integrations fall outside this scope and will be billed at an hourly rate. Retainer fees are processed automatically; failure to maintain an active payment method will result in the immediate suspension of the digital property and hosting services.

2. Term and Early Termination

This Software-as-a-Service agreement requires a minimum 12-month hosting and infrastructure commitment. This commitment allows TekBridges to waive the substantial initial custom development, deployment, and integration fees associated with your chosen tier.

For Core System (Monthly) Clients: The 12-month commitment allows TekBridges to waive the standard $1,200 one-time development fee. Should the Client terminate the agreement prior to the completion of the 12-month term, a prorated early termination fee will be immediately due to cover this unamortized build cost. This fee is calculated at $100 for each remaining month of the incomplete term.

For Advanced Engine (Monthly) Clients: The 12-month commitment allows TekBridges to waive the $4,200 one-time setup fee required for AI agent training, CRM pipeline architecture, and advanced SEO deployment. Should the Client terminate the agreement prior to the completion of the 12-month term, a prorated early termination fee will be immediately due. This fee is calculated at $350 for each remaining month of the incomplete term.

For All Annual Upfront Clients: Clients who select an Annual package prepay for 12 months of infrastructure at a discounted rate; therefore, all initial development and integration fees are permanently waived, and no early termination fees apply.

Upon payment of any final invoices, TekBridges will release all domain routing. Failure to settle final invoices will result in the immediate suspension of all digital properties and AI routing services.

3. Intellectual Property and Domain Ownership

The Client retains full, exclusive ownership of any original content, logos, or preexisting domains they provide to TekBridges.

For domains registered by TekBridges on the Client's behalf: TekBridges will act as the sole registrant and technical manager of the domain for the duration of the initial 12-month agreement. This is a managed-service lease. Full legal ownership and administrative control of the domain will be transferred to the Client upon the successful completion of the 12-month term, or upon the payment of the applicable early termination buyout fee (as outlined in Section 2).

TekBridges retains full ownership of the underlying HTML/Tailwind codebase, design templates, CRM integrations, and server infrastructure. This agreement functions strictly as a software-as-a-service (SaaS) license. Upon cancellation, the website and associated hosting environments will be deactivated, and the proprietary codebase will not be transferred.

4. Security and Limitation of Liability

TekBridges engineers its web infrastructure utilizing strict data protection principles and data loss prevention (DLP) protocols designed to secure sensitive information. However, no digital environment is entirely immune to risk. The Client agrees that TekBridges shall not be held liable for third-party data breaches, lost revenue, or business interruptions. Furthermore, TekBridges operates strictly as a technical infrastructure partner and not an insurance carrier; the Client retains sole responsibility for their own regulatory compliance, licensing, and policy binding operations.

5. SMS Communications

By providing your phone number and participating in our internal CRM routing, you consent to receive automated SMS lead alerts from TekBridges. Message frequency varies based on lead volume. Message and data rates may apply. You can reply STOP to opt-out at any time, or HELP for assistance. Our Privacy Policy strictly forbids the sharing of your mobile information with external parties for marketing purposes.
